License Agreement

This License Agreement ("Agreement") is a legal agreement between you ("Licensee") and Pennyworth Labs ("Licensor") for the use of Nova.Blazor ("Software").
Quick Summary

- Create derivative works
- Use in SaaS applications
- Use in client projects
You CANNOT:
- Resell or redistribute the Software
- Share your license key
- Create a competing product
- Remove license validation
- Claim ownership of the Software
- Sub-license to third parties
1. Definitions
- "Software" means the Nova.Blazor component library, including all source code, compiled binaries, documentation, and associated files.
- "License Key" means the unique identifier provided upon purchase that activates the Software.
- "Project" means any software application, website, or product developed by the Licensee.
- "End User" means any person who uses a Project developed by the Licensee.
2. Grant of License
Subject to the terms of this Agreement, Licensor grants Licensee a perpetual, non-exclusive, non-transferable, worldwide license to:
- Install and use the Software on unlimited development machines
- Use the Software in unlimited Projects, both personal and commercial
- Modify the Software's source code for use in Licensee's Projects
- Distribute the Software as part of Licensee's compiled Projects to End Users
3. License Key
The License Key is personal to the Licensee and must not be shared, published, or transferred. The License Key may be used by:
- A single individual developer, OR
- A single legal entity (company/organization) and its employees
If multiple unrelated parties require access, each must purchase a separate license.
4. Restrictions
Licensee shall NOT:
- Redistribute: Sell, resell, rent, lease, or distribute the Software or its source code as a standalone product
- Compete: Use the Software to create a product that competes with Nova.Blazor (e.g., another component library for sale)
- Share: Share, publish, or transfer the License Key to any third party
- Circumvent: Remove, disable, or circumvent any license validation mechanisms
- Misrepresent: Claim ownership of, or authorship of, the Software
- Sub-license: Grant any third party rights to use the Software independent of Licensee's Projects
5. Permitted Distribution
Licensee MAY distribute the Software only when:
- It is compiled and integrated into Licensee's Project
- The Software is not the primary value of the distributed product
- End Users cannot extract or reuse the Software independently
6. Source Code Access
Upon purchase, Licensee receives access to the full source code. This access is provided for:
- Customization and modification for Licensee's own use
- Learning and educational purposes
- Debugging and troubleshooting
Source code access does not grant any additional rights beyond those explicitly stated in this Agreement.
7. Updates and Support
The license includes:
- Lifetime Updates: Access to all future versions and updates at no additional cost
- Priority Support: Email support for technical issues and questions
- Documentation: Access to all documentation and examples
8. Intellectual Property
Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not transfer any ownership rights to Licensee.
9. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE.
11. Termination
This Agreement is effective until terminated. Licensor may terminate this Agreement if Licensee breaches any terms. Upon termination:
- All rights granted under this Agreement immediately cease
- Licensee must cease all use of the Software
- Licensee must destroy all copies of the Software in their possession
- Previously distributed Projects may continue to function
12. Governing Law
This Agreement shall be governed by the laws of the State of Texas, United States, without regard to conflict of law principles.
13. Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the Software and supersedes all prior agreements and understandings.
